3. Client Obligations

• Make payments according to agreed terms

3.2 Content and Materials

Clients are responsible for:

• Ensuring all provided content is original or properly licensed
• Obtaining necessary permissions for third-party materials
• Compliance with copyright and trademark laws
• Accuracy of all information provided

4. Payment Terms

4.1 Pricing and Invoicing

• All prices are quoted in Indian Rupees (INR) unless otherwise specified
• Invoices are due within 30 days of issue date
• Late payments may incur additional charges
• Services may be suspended for overdue payments

4.2 Project Payments

• Projects typically require 50% advance payment
• Remaining balance due upon project completion
• Additional work outside project scope will be charged separately
• Payment terms may vary based on project complexity

5. Intellectual Property

5.1 Client IP Rights

Upon full payment, clients retain ownership of:

• Custom code developed specifically for their project
• Design elements created exclusively for their use
• Content and materials provided by the client

5.2 Company IP Rights

Jsk1 retains ownership of:

• Pre-existing code, frameworks, and methodologies
• General knowledge and experience gained
• Tools and processes developed for service delivery

6. Confidentiality

Both parties agree to maintain confidentiality of sensitive information including:

• Business strategies and plans
• Technical specifications and data
• Financial information
• Customer lists and contact information

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. We do not guarantee that our services will be error-free or uninterrupted.

7.2 Disclaimers

Services are provided "as is" without warranty of any kind. We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

Our liability for any claims arising from our services is limited to the amount paid for the specific service. We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits or business interruption
• Data loss or corruption
• Third-party claims or actions

9. Force Majeure

We are not responsible for delays or failures due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, pandemics, or technical failures.

10.1 Termination by Client

Clients may terminate services with 30 days written notice. Payment for completed work and reasonable cancellation fees may apply.

10.2 Termination by Company

We may terminate services immediately for:

• Non-payment of fees
• Breach of these terms
• Illegal or unethical use of our services

11. Privacy and Data Protection

Our handling of personal information is governed by our Privacy Policy. We comply with applicable data protection laws and implement appropriate security measures.

12. Modification of Terms

We may modify these terms at any time. Changes will be posted on our website with an updated effective date. Continued use of our services constitutes acceptance of modified terms.

13. Dispute Resolution

13.1 Negotiation

We encourage resolution of disputes through direct negotiation and good faith communication.

13.2 Arbitration

If negotiation fails, disputes will be resolved through binding arbitration in Jaipur, Rajasthan, under Indian arbitration law.
